Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Keyword Ninja, a service operated by Yes, Please! Ltd ("Keyword Ninja", "we", "us", or "our") and govern your access to and use of the Keyword Ninja website, applications, and related services (collectively, the "Service"). By creating an account, connecting a Google Ads account, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, you must not access or use the Service.

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.

2. Description of the Service

Keyword Ninja is a Google Ads optimization platform. It synchronizes campaign, keyword, and search-term data from your Google Ads account into our systems and surfaces analysis and tools, including:

• Wasted-spend analysis (zero-conversion keywords, underperforming ads, search-term mining, and duplicate-intent keywords);
• Tools to add negative keywords and to promote high-performing search terms to positive keywords;
• Keyword-conflict detection between negative and active keywords;
• Performance dashboards, reporting, anomaly alerts, and AI-assisted insights and recommendations (on eligible plans);
• Rule-based automations that act on your account on the schedule and conditions you configure;
• An optional marketplace to find and engage freelance account managers.

Keyword Ninja is not a keyword-research tool: it does not generate keyword suggestions or provide search-volume data. The Service depends on the Google Ads API, and its availability and functionality are subject to that API.

3. Google Ads Authorization and Account Access

To use core features, you authorize Keyword Ninja, through Google OAuth, to access your Google Ads account on your behalf. You authorize us to:

• Read campaign structure, keywords, ads, and search-term performance data;
• Create, modify, or remove keywords, negative keywords, ad groups, and related entities based on actions you explicitly request or on automation rules you have created and enabled;
• Retrieve performance metrics for analysis and reporting.

You may revoke this authorization at any time through your Google Account permissions. Revoking access will disable Service features that depend on the Google Ads API.

4. Accounts and Security

You access the Service by signing in with Google. You are responsible for safeguarding access to your Google account and for all activity that occurs under your Keyword Ninja account. You agree to provide accurate information, to keep your credentials secure, and to notify us promptly of any unauthorized use. We are not liable for any loss arising from unauthorized use of your account.

5. Plans, Billing, and Changes

The Service is offered across tiers - Free, Basic, Pro, and Enterprise - with different limits on accounts, campaigns, keywords, monitored spend, and access to advanced features (such as AI insights and automations). Current limits and prices are shown on our pricing page and may change.

• Paid features require an active paid plan. Where online payment is enabled, you authorize the applicable recurring charges until you cancel, and you agree to provide accurate billing information.
• Unless required by law, fees are non-refundable. We may change prices or plan limits on reasonable notice to active subscribers.
• Plan limits are enforced within the Service; exceeding a limit may restrict certain features until you upgrade.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful, infringing, or unauthorized purpose;
• Use the Service in any way that violates Google Ads policies or the Google Ads API Terms of Service;
• Attempt to gain unauthorized access to, probe, or disrupt the Service, its servers, or other users' data;
• Reverse engineer, scrape, copy, resell, or create derivative works from the Service except as permitted by law;
• Share account access with unauthorized parties or misrepresent your authority over a connected Google Ads account.

7. Automations and Changes to Your Account

Some features can modify your Google Ads account - for example, adding negative keywords, pausing keywords, or creating keywords and ad groups. When you trigger an action or enable an automation rule, you authorize the resulting changes. You are responsible for reviewing the actions you request and the rules you enable. We provide previews and, where available, dry-run modes, but you remain responsible for the configuration and outcomes of your campaigns.

8. Marketplace and Account Managers

The Service may let you discover and engage independent freelance account managers, or offer your own services as a manager. Keyword Ninja is not a party to any engagement between advertisers and managers, does not employ managers, and does not guarantee any outcome. Any access a manager has to your data is granted by you and may be revoked by you. You are responsible for your dealings with any manager.

9. Third-Party Services

The Service relies on third parties, including Google (OAuth and the Google Ads API) and AI model providers used to generate insights and recommendations. Your use of those features is also subject to the relevant third party's terms. We are not responsible for third-party services, and their availability may affect the Service.

10. Intellectual Property

The Service and its original content, features, and functionality are owned by Keyword Ninja and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. Your Google Ads data remains yours; you grant us the rights needed to provide the Service as described in our Privacy Policy.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any analysis, recommendation, or automation will produce particular advertising results.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYWORD NINJA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR ADVERTISING SPEND, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. Our aggregate liability for any claim relating to the Service shall not exceed the amounts you paid us for the Service in the twelve months preceding the claim, or, where no fees were paid, one hundred US dollars (USD 100).

13. Indemnification

You agree to indemnify and hold harmless Keyword Ninja and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party, including Google Ads policies.

14. Suspension and Termination

You may stop using the Service at any time and may request deletion of your account. We may suspend or terminate your access, with or without notice, if you violate these Terms, create risk or legal exposure, or if required to do so. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

15. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Billing, Subscriptions, and Refunds

Paid plans and free trial. Some features require a paid subscription. We offer a 14-day free trial on paid plans; a payment method is optional to start a trial. Unless you cancel before the trial ends, the trial automatically converts to a paid subscription and your payment method (if one is on file) is charged the then-current plan price.

Recurring billing and authorization. Paid plans are billed in advance on a recurring basis - every 30 days for monthly plans, or every 12 months for annual plans - until you cancel. By subscribing you authorize Keyword Ninja and its payment processor to charge your payment method the recurring amount shown at checkout, including applicable tax, on each renewal date, until you cancel.

Prices and VAT. Prices are shown at checkout in your billing currency. For customers in Israel, value-added tax (VAT) is added at the statutory rate; customers outside Israel are billed with no Israeli VAT (zero-rated export). The exact amount, currency, and tax are displayed before you confirm.

Plan changes. Upgrades take effect immediately and are charged a prorated amount for the remainder of the current billing period. Downgrades and cancellations take effect at the end of the current billing period; you keep paid access until then.

Cancellation. You may cancel at any time from Settings → Billing, as easily as you subscribed. On cancellation you retain access until the end of the period you have already paid for, after which the plan reverts to Free. We send a written confirmation of each cancellation.

Refunds and cooling-off. Where applicable consumer law grants you a cooling-off or cancellation right, you may request a refund within that period by contacting us. For annual plans cancelled mid-term, any refund is handled in accordance with applicable law.

Failed payments. If a renewal charge fails, we will retry over a short period and notify you. If payment still cannot be collected, paid access may be suspended until the balance is settled, or the plan may be moved to Free.

Price changes. We may change plan prices. Any change applies only to renewals after we give you advance notice, and you may cancel before it takes effect.

17. Governing Law and Contact

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules. If any provision is found unenforceable, the remaining provisions remain in effect.

The Service is operated by Yes, Please! Ltd (company no. 514444561), from Arye Shenkar St 1, Herzliya, Israel.
